Partner Terms & Conditions

1. Introduction

These Partner Terms & Conditions (“Partner Terms”) govern your participation in the CoreFi Partner Programme (“Programme”) operated by JG Core Ltd (Company #16218779, England & Wales) (“CoreFi”, “we”, “us”, or “our”).

By applying to join the Programme, you (“Partner” or “you”) agree to be bound by these Partner Terms, our Privacy Policy, our Terms of Service, and our Commission Schedule.

2. Definitions

Partner
An individual or entity approved by CoreFi to promote our services through the Programme.
Referral Link
A unique URL provided to you containing your Partner code (e.g., corefi.app?ref=YOUR_CODE).
Referral
A user who clicks your Referral Link and subsequently creates a CoreFi account within the 90-day cookie window.
Conversion
A Referral who upgrades to a paid subscription tier (Pro or Premium) and completes payment.
Commission
Payment earned by you for successful Referrals or Conversions, as detailed in our Commission Schedule.
Cookie Window
The 90-day period during which a user's signup is attributed to your Referral Link via browser cookie or similar tracking technology.

3. Eligibility

To join the Programme, you must:

  • Be at least 18 years of age;
  • Have a valid email address and legal capacity to enter into binding contracts;
  • Maintain an active website, blog, social media presence, or other promotional channel;
  • Not be FCA-regulated to provide financial advice (unless approved as an Accountant/Adviser tier partner);
  • Agree to comply with all applicable laws and regulations in your jurisdiction.

CoreFi reserves the right to reject or terminate any Partner application at our sole discretion without providing a reason.

4. Application and Approval

To apply, complete the Partner application form at corefi.app/partners/apply. We will review your application and notify you of approval or rejection within 14 business days.

Upon approval, you will receive:

  • Access to your Partner Dashboard at /partners/dashboard;
  • Your unique Referral Link and Partner code (e.g., ?ref=YOUR_CODE);
  • Marketing materials and brand guidelines.

5. Referral Link Rules

You agree to promote CoreFi honestly and ethically. When using your Referral Link, you must not:

  • Make false, misleading, or exaggerated claims about CoreFi's services or features;
  • Provide regulated financial advice unless you are FCA-authorised and approved for our Accountant/Adviser tier;
  • Use paid search advertising on CoreFi brand terms (e.g., “CoreFi”, “CoreFi app”) without written approval;
  • Send unsolicited commercial emails (spam) or engage in other prohibited marketing practices;
  • Engage in cookie stuffing, automatic redirects, or other deceptive tracking practices;
  • Use your Referral Link for self-referrals, family members, or accounts you control;
  • Misrepresent your relationship with CoreFi (e.g., claiming to be an official partner, employee, or representative without authorization);
  • Promote CoreFi on websites containing illegal, adult, or offensive content;
  • Violate any applicable laws or regulations.

Violation of these rules may result in immediate termination of your Partnership, forfeiture of unpaid Commissions, and potential legal action.

6. Commission Structure

Commissions are paid according to our Commission Schedule. The structure depends on your Partner tier:

6.1 Individual Affiliate (CPA Model)

One-off Cost Per Acquisition (CPA) payments:

  • Free Tier Signup: £5 per new user who creates a Free account via your Referral Link
  • Pro Conversion: £15 per user who upgrades to Pro
  • Premium Conversion: £40 per user who upgrades to Premium

6.2 Accountant/Adviser Tier

Recurring revenue share for approved accounting firms, tax advisers, IFAs, and financial coaches:

  • 10-15% recurring commission for 12 months from the date of customer conversion
  • Rate determined during application approval based on volume and relationship

6.3 Enterprise

Custom negotiated terms for high-volume partners, media partners, and strategic relationships. Contact legal@corefi.app.

7. When Commissions Are Earned

A Commission is earned when all of the following conditions are met:

  • The Referral clicks your Referral Link and the tracking cookie is successfully set;
  • The user creates a CoreFi account within the 90-day Cookie Window;
  • For CPA: The user is a new, unique user (not a duplicate or self-referral);
  • For Conversion commissions: The user completes payment for a Pro or Premium subscription;
  • The user does not request a refund within the 30-day refund window;
  • The Referral was obtained through legitimate means (no fraud, cookie stuffing, or prohibited activities).

Commissions are provisional until the 30-day refund window has passed. If a customer requests a refund, the associated Commission will be reversed (see Section 10).

8. When Commissions Are Paid

Commissions are paid monthly, 30 days after they are earned, subject to the following conditions:

  • Minimum Payout Threshold: £50. If your earned Commissions for a month are below £50, they roll over to the next month until the threshold is met.
  • Payment Method: Bank transfer (UK or international) or other method agreed in writing.
  • Payment Currency: GBP (British Pounds Sterling). We do not accept responsibility for currency conversion fees.
  • Payment Timing: Payments are processed within 10 business days of the monthly payment date.

You are responsible for providing accurate payment details in your Partner Dashboard. We are not responsible for failed payments due to incorrect information.

9. Tax Responsibility

You are solely responsible for all tax obligations arising from Commission payments. This includes, but is not limited to:

  • Income tax;
  • VAT (if you are VAT-registered);
  • Corporation tax (if you are a company);
  • Self-employment tax (if applicable);
  • Any other local, state, or national taxes in your jurisdiction.

UK-based Partners should note that Commission payments constitute taxable income and must be declared to HMRC on your Self Assessment tax return or through your company accounts.

CoreFi does not withhold taxes from Commission payments unless legally required to do so. We may issue tax documentation (e.g., annual payment statements) but you remain responsible for accurate reporting and payment of taxes.

10. Clawback Policy

If a customer referred by you requests a refund within 30 days of payment, the associated Commission will be reversed. This reversal will be reflected in your Partner Dashboard and deducted from future Commission payments.

If you have already been paid for a Commission that is later reversed, we reserve the right to deduct the clawback amount from your next payment(s) or request repayment.

11. Term and Termination

11.1 Term

These Partner Terms commence on the date of your approval and continue until terminated by either party.

11.2 Termination by You

You may terminate your participation in the Programme at any time by providing written notice to legal@corefi.app. Upon termination:

  • Your Referral Link will be deactivated;
  • You will receive payment for any earned Commissions above the £50 threshold within 30 days;
  • Any Commissions below the £50 threshold will be forfeited unless otherwise agreed in writing.

11.3 Termination by CoreFi

We may terminate your participation immediately without notice if you:

  • Violate these Partner Terms;
  • Engage in fraudulent or deceptive practices;
  • Damage CoreFi's reputation or brand;
  • Fail to comply with applicable laws;
  • Become insolvent or cease trading.

Upon termination for breach, you forfeit all unpaid Commissions and may be held liable for damages.

11.4 Effect of Termination

Upon termination:

  • You must immediately cease all promotional activities using CoreFi branding or Referral Links;
  • You must remove CoreFi marketing materials from your channels;
  • Your Partner Dashboard access will be revoked (after a 30-day grace period for final payment verification);
  • Sections 9 (Tax), 10 (Clawback), 12 (Prohibited Activities), 13 (Liability), 14 (Confidentiality), and 16 (Governing Law) survive termination.

12. Prohibited Activities

The following activities are strictly prohibited and constitute grounds for immediate termination:

12.1 Cookie Stuffing

Using iframes, automatic redirects, or other deceptive means to set tracking cookies without genuine user intent to visit CoreFi.

12.2 Self-Referrals

Creating accounts, or encouraging others to create accounts, solely to generate Commission payments for yourself.

12.3 Fraudulent Traffic

Using bots, click farms, or other automated means to generate fake clicks or signups.

12.4 Brand Bidding

Bidding on CoreFi brand terms (e.g., “CoreFi”, “CoreFi app”) in paid search campaigns without written approval.

12.5 Misrepresentation

Claiming to be an official CoreFi partner, employee, or representative beyond what is authorized, or making false claims about CoreFi's features, pricing, or regulatory status.

12.6 Financial Advice

Providing regulated financial advice unless you are FCA-authorised and approved for our Accountant/Adviser tier.

13. Limitation of Liability

13.1 Independent Contractor

You are an independent contractor, not an employee, agent, or representative of CoreFi. You have no authority to bind CoreFi to any contract or obligation.

13.2 No Guarantees

CoreFi makes no guarantees regarding potential Commission earnings. Your success depends on your own promotional efforts, audience, and market conditions.

13.3 Liability Limitation

To the fullest extent permitted by law, CoreFi's total liability to you under these Partner Terms shall not exceed the total Commissions paid to you in the 12 months preceding the claim.

CoreFi is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.

13.4 Indemnification

You agree to indemnify and hold harmless CoreFi, JG Core Ltd, and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Partner Terms;
  • Your promotional activities;
  • Your violation of any law or third-party rights;
  • Any fraudulent, deceptive, or prohibited activities you engage in.

14. Confidentiality

You may receive confidential information about CoreFi's business, Commission structures, customer data, or marketing strategies. You agree to:

  • Keep all confidential information strictly confidential and not disclose it to third parties;
  • Use confidential information only for the purpose of fulfilling your obligations under these Partner Terms;
  • Return or destroy all confidential materials upon termination.

This obligation does not apply to information that: (a) is publicly available through no fault of yours; (b) was already in your possession prior to disclosure; or (c) must be disclosed by law.

15. Changes to Terms

We reserve the right to modify these Partner Terms at any time. We will notify you of material changes via email or your Partner Dashboard at least 30 days before they take effect.

Your continued participation in the Programme after changes take effect constitutes acceptance of the modified terms. If you do not agree to the changes, you may terminate your participation as described in Section 11.2.

Changes to Commission rates are governed by our Commission Schedule and require 30 days' notice.

16. Governing Law and Jurisdiction

These Partner Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Partner Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Partner Terms, together with our Commission Schedule, Partner Data Processing Addendum, Privacy Policy, and Terms of Service, constitute the entire agreement between you and CoreFi regarding the Programme and supersede all prior agreements or understandings.
